BE Semiconductor Industries N.V. ("Besi"), is a leading multinational manufacturer of technologically advanced equipment for the semiconductor industry. Besi's ordinary shares are listed on AEX Euronext Amsterdam. The head office is located in Duiven (Gelderland), the Netherlands.

It operates eight facilities for production and development activities, as well as thirteen sales and service offices across Europe, Asia and North America. Furthermore, Besi is listed on the Amsterdam stock exchange. The company's reporting GAAP is IFRS and it has to be CSRD compliant as of reporting year 2024.

The position

Because of growth and success, we are looking for a General Counsel.

The General Counsel, based in Duiven, reports into the CEO. The General Counsel we are looking for will provide business minded and pragmatic legal support on all corporate and commercial related matters, with a strong focus on Corporate Governance and compliance. You will work together with a Legal Counsel (based in Singapore) with room to expand the legal visibility and responsibilities within Besi.

The company is a global organization and you will be a business partner to all internal stakeholders and act as a Projectmanager while working with external legal professionals within private practice.

Tasks & responsibilities

• Working at a purpose driven and global leading company with an ambitious growth strategy;
• Provide legal support and drive the legal aspects of corporate governance and ESG;
• Responsible position as business partner to all company group functions and business lines, including all tasks that come with being a listed company;
• Provide legal advice and support in relation to contract management, contract queries, drafting and negotiating contracts, legal claims, insurance, regulatory and other matters;
• Ensure compliance with internal policies and act proactively to minimize liabilities;
• Manage legal issues with an emphasis on contracts with financial and corporate issues and NDA's.

Candidate profile

• Master's degree in law from a European University;
• Senior experience in corporate law and compliance gained through at least 10 years of working experience in a law firm and/or in-house;
• Has a broad experience across the spectrum of legal matters, e.g. contracts, corporate law, litigation, regulatory, liability, compliance and governance;
• Fluent in English (written and verbally) with excellent interpersonal skills and the ability to communicate at all levels with different stakeholders;
• Excellent command of the Dutch language is considered a plus;
• Accurate and solution driven legal business partner with sound judgement and understanding of business needs and strategic drivers;
• Flexible, hands-on, pro-active and get the job done mentality;
• Team player who can work both independently and in a team;
